Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by AgriWorks Manufacturing ("Company", "we", "our", or "us"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and AgriWorks Manufacturing. If you do not agree to these Terms, you must not access or use our services. We reserve the right to modify these Terms at any time, and any such modifications shall be effective immediately upon posting. Your continued use of our services following any modifications constitutes your acceptance of the revised Terms.

2. Description of Services

AgriWorks Manufacturing provides digital agricultural support and planning services on a consultative basis. Our services include, but are not limited to: equipment and tooling consultations, comparison of agricultural solutions and technologies, preparation of process diagrams and work instructions, basic CAD sketches and 3D concept models, process optimization recommendations, and informational reports on equipment and materials. All services are delivered remotely and are purely consultative in nature.

We do not sell, manufacture, distribute, or deliver any physical products. We do not handle, manage, or invest client funds. We do not provide services that constitute professional engineering certification, licensed agricultural advice, or legally binding technical assessments. Our deliverables are informational and conceptual in nature and should not be used as a substitute for certified professional engineering services.

3. Eligibility

You must be at least 18 years of age or the age of majority in your jurisdiction to use our services. By using our services, you represent and warrant that you meet these eligibility requirements. If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. User Obligations

You agree to provide accurate, current, and complete information when engaging our services. You agree to use our services only for lawful purposes and in accordance with these Terms. You shall not use our services to engage in any activity that is illegal, fraudulent, or harmful to others. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of our services, use of our services, or access to our services without our express written permission. You shall not attempt to reverse-engineer, disassemble, or decompile any software or technology used in providing our services.

5. Intellectual Property

All content, designs, CAD drawings, 3D concepts, reports, process diagrams, and other materials created by AgriWorks Manufacturing in the course of providing services remain the intellectual property of AgriWorks Manufacturing unless otherwise agreed upon in a separate written agreement. Upon full payment for services rendered, clients receive a non-exclusive, non-transferable license to use deliverables for their internal business purposes only.

The AgriWorks Manufacturing name, logo, and all related trademarks, service marks, and trade names are the property of AgriWorks Manufacturing. You may not use any of our trademarks without our prior written consent. All other trademarks appearing on our website or in our materials are the property of their respective owners.

6. Payment Terms

Payment for services shall be made in accordance with the terms specified in the applicable service agreement or invoice. All fees are quoted in United States Dollars unless otherwise specified. Late payments may be subject to interest charges at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower. We reserve the right to suspend or terminate services for accounts with outstanding balances exceeding 30 days past due.

7. Confidentiality

Both parties agree to treat as confidential all information received from the other party that is designated as confidential or that, by its nature, would reasonably be considered confidential. This obligation does not apply to information that is publicly available, was already known to the receiving party, is independently developed by the receiving party, or is disclosed pursuant to a legal requirement. Confidentiality obligations shall survive termination of these Terms for a period of three (3) years.

8. Limitation of Liability

To the fullest extent permitted by applicable law, AgriWorks Manufacturing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use our services, any conduct or content of any third party, any content obtained from our services, or unauthorized access to, use of, or alteration of your transmissions or content. Our total aggregate liability for any claims arising from or related to these Terms or our services shall not exceed the total amount paid by you to AgriWorks Manufacturing during the twelve (12) month period preceding the claim.

9. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. No advice or information, whether oral or written, obtained from AgriWorks Manufacturing shall create any warranty not expressly stated in these Terms.

Our CAD drawings, 3D concepts, and technical recommendations are conceptual in nature and should not be relied upon for construction, manufacturing, or engineering purposes without independent verification by qualified professionals. AgriWorks Manufacturing does not assume responsibility for the implementation of any recommendations or the use of any deliverables beyond their intended conceptual purpose.

10. Indemnification

You agree to indemnify, defend, and hold harmless AgriWorks Manufacturing and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your violation of these Terms, your violation of any rights of another, or any claim that your use of our services caused damage to a third party.

11. Termination

Either party may terminate the service relationship at any time by providing written notice to the other party. Upon termination, you remain obligated to pay for all services rendered prior to the effective date of termination. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitation of liability, disclaimer of warranties, indemnification, and governing law.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration in Somerset County, New Jersey, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

13. Miscellaneous

These Terms constitute the entire agreement between you and AgriWorks Manufacturing regarding the use of our services. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. These Terms may not be assigned or transferred by you without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
